Watts & Associates is working discreetly with a highly regarded Am Law 200 business law firm with a nationally recognised commercial transactions platform seeking a Technology & Commercial Transactions Associate with 2–4 years of experience to join its Chicago, IL office.
This opportunity offers technology-driven commercial agreements and intellectual property-intensive transactions for sophisticated businesses within a nationally recognised intellectual property practice. The successful attorney will work closely with a nationally recognised commercial transactions team, take ownership of substantive matters and gain exposure to software, licensing, outsourcing, data, privacy and technology-enabled commercial matters.

The Role
The successful attorney will support and lead technology-focused transactions, including:
- Draft and negotiate software and SaaS agreements
- Advise on technology development and licensing arrangements
- Handle professional-services and outsourcing agreements
- Support procurement, distribution and strategic partnerships
- Address intellectual property ownership and use rights
- Advise on privacy, cybersecurity and data provisions
- Support diligence in corporate and strategic transactions
- Manage negotiations, timelines and stakeholder communications
- Develop practical forms, processes and commercial solutions
The role offers direct collaboration with partners, senior attorneys and clients, together with increasing responsibility and opportunities to take ownership of important workstreams.
Ideal Candidate Profile
The firm is seeking a Technology & Commercial Transactions Associate with:
- Two to four years of complex commercial-transactions experience
- Substantive technology, software or licensing experience
- Strong drafting, negotiation and analytical skills
- Ability to provide practical, business-focused advice
- Excellent organisational and communication skills
- A J.D. from an ABA-accredited law school – Within T50 Preferred
- Illinois admission
- Experience in a law firm or corporate legal department
Experience with SaaS, outsourcing, privacy, data security or IP-intensive corporate transactions is strongly preferred.
Compensation and Benefits
The firm offers $235,000–$310,000 Base + Benefits & Bonuses, with final compensation depending on experience, qualifications and other relevant factors.
