About the role
Key Responsibilities
- Advise private companies, including partnerships, S corporations, and C corporations, on the federal, state, and local tax implications of mergers, acquisitions, dispositions, joint ventures, financings, restructurings, and other strategic transactions.
- Draft, review, and negotiate tax provisions in transactional documents, including tax representations and warranties, tax covenants, tax indemnification provisions, purchase price allocations, partnership allocation provisions, distribution waterfalls, tax distribution provisions, profits interests, and related contractual terms.
- Counsel clients on pre-transaction restructuring matters, including corporate and partnership restructurings, F reorganizations, asset contributions and distributions, debt restructurings, and related tax planning strategies.
- Provide transactional tax planning and business structuring advice to high-net-worth individuals, family offices, and emerging companies.
- Advise clients on Qualified Small Business Stock (QSBS), Section 1031 exchanges, state and local tax matters, property tax issues, and charitable planning strategies.
- Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions on sophisticated transactions.
- This position offers the opportunity to work closely with experienced partners and advise privately held businesses, high-net-worth individuals, family offices, and emerging companies on complex domestic business transactions and strategic tax planning.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law in California or eligibility for admission.
- Minimum 3 years of experience in transactional tax law.
- Strong background advising businesses on domestic transactional tax matters.
- Experience drafting and negotiating complex tax provisions in transactional documents.
- Familiarity with business entity taxation, corporate and partnership restructurings, and tax planning strategies.
- Excellent analytical, drafting, negotiation, and communication skills.
- Ability to manage multiple sophisticated matters in a collaborative, fast-paced environment.
