About the role

Piper Companies is seeking a Senior Corporate Counsel, Corporate Governance & Securities to join a leading publicly traded healthcare technology organization. The Senior Corporate Counsel, Corporate Governance & Securities will partner with executive leadership to oversee corporate governance, SEC compliance, securities reporting, subsidiary governance, and strategic legal initiatives in a fast-paced global environment. The Senior Corporate Counsel, Corporate Governance & Securities is a direct placement with the company and requires you to work onsite 5 days per week in Tempe, AZ. Responsibilities of the Senior Corporate Counsel, Corporate Governance & Securities:

  • Lead Board of Directors and committee governance activities.
  • Prepare and review Board materials, resolutions, minutes, and annual shareholder meeting documentation.
  • Oversee SEC filings, including 10-Ks, 10-Qs, 8-Ks, Proxy Statements, and other required disclosures.
  • Manage insider trading compliance, Section 16 reporting, Rule 144 matters, and 10b5-1 plans.
  • Advise leadership on corporate governance, securities law, and regulatory developments.
  • Partner with Finance, Treasury, Tax, Investor Relations, HR, and Executive Compensation teams on governance and disclosure matters.
  • Support financing transactions, investments, and other corporate legal initiatives.
  • Oversee global subsidiary governance and entity management activities.
  • Lead process improvement, automation, and AI-enabled governance initiatives.

Requirements of the Senior Corporate Counsel, Corporate Governance & Securities:

  • Juris Doctor (JD) degree and active U.S. bar license.
  • 12+ years of corporate legal experience in a law firm and/or public company environment.
  • Extensive experience with SEC reporting, securities compliance, and corporate governance.
  • Strong knowledge of SEC regulations, Nasdaq listing standards, SOX, and Dodd-Frank requirements.
  • Experience supporting Board matters, proxy statements, shareholder meetings, and subsidiary governance.
  • Proven ability to advise executive leadership and manage cross-functional initiatives.
  • Experience with financing transactions and outside counsel management preferred.
  • Familiarity with Workiva/Wdesk, Intelligize, or similar governance platforms preferred.

Compensation for the Senior Corporate Counsel, Corporate Governance & Securities:

  • $190,000 - $250,000 base salary + Bonus
