About the role

Job Description

The Sr Corporate Counsel is a corporate generalist with health law experience who can address legal issues from a commercial perspective. Primary responsibilities include drafting and negotiating contracts of many types and counseling internal clients on a broad range of business, compliance, healthcare and regulatory (Federal and State) matters. The Sr Corporate Counsel will serve as a key strategic partner to our business teams.

Salary Range: $180,000 to $230,000/year + 25% Annual Incentive Plan + LTI

Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications obtained. Market and organizational factors are also considered. Successful candidates may be eligible to receive annual performance bonus compensation.

Sr Corporate Counsel

Responsibilities

  • Draft, review, and negotiate a wide range of commercial agreements including: MSAs and related SOWs, DPAs/BAAs, reseller and collaboration agreements, and data licensing.
  • Lead complex, multi-threaded negotiations with enterprise customers and strategic partners; balance risk with business velocity and articulate practical paths to signature.
  • Advise sales, channels, product, security, finance, and procurement on commercial strategy, legal risk, privacy, and compliance; provide clear, practical guidance under tight timelines.
  • Continuously improve (not build from scratch) contract templates, fallback positions, and negotiation playbooks; streamline approvals and escalations to reduce cycle time.
  • Manage outside counsel on overflow and specialized matters; ensure quality and cost discipline

Qualifications

The ideal candidate will possess a solid understanding of the health care industry and applicable laws and regulations impacting health care providers, and exceptional transactional skills. Desirable experience includes

  • A Doctor of Jurisprudence (J.D.) or equivalent degree is required.
  • Must be admitted to at least one state bar, or be eligible for licensure as a registered in-house counsel Juris Doctor Degree
  • Minimum of seven to ten years of experience as a practicing attorney
  • Previous in-house experience is preferred
  • Significant experience in drafting and negotiating contracts in a health care setting
  • Experience drafting and negotiating complex commercial health care agreements
  • Healthcare industry experience and familiarity with HIPAA and other U.S. privacy laws
  • Experience developing procedures and protocols for contract reviews
  • Experience in data analytics and/or consumer-facing health care
  • Strong legal drafting skills
  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to communicate effectively with partners at all levels
  • Good judgment and ability to maintain an objective perspective, particularly when resolving legal risk of clinical matters
  • Ability to work well independently and on a team, and the ability to prioritize effectively
  • Proficient using Artificial Intelligence tools for contracting and research
