We are currently supporting a leading professional services firm in the search for experienced professionals to join its Private Equity Operations & Carve-Out Advisory team in Tokyo.

The team works closely with domestic and international Private Equity (PE) clients across the transaction lifecycle, providing operational and value creation support in complex M&A and carve-out situations.

This is an opportunity to work on high-impact PE transactions , collaborating with senior stakeholders and international teams across Japan and overseas.

Open Positions

・Senior Consultant

Support and execute PE-related operational due diligence, carve-out, and value creation projects.

・Manager

Lead project workstreams, manage client relationships, and drive the delivery of complex PE and M&A engagements.

・Senior Manager

Lead large-scale engagements, oversee project teams, manage senior client stakeholders, and contribute to business development and practice growth.

Key Responsibilities

• Lead and deliver Carve-Out Due Diligence (Carve-Out DD) for buy-side PE transactions
• Assess operational structures and identify opportunities for operational improvement and profitability enhancement
• Conduct Operational Due Diligence (ODD) , evaluating operational risks, EBITDA improvement opportunities, and potential synergies
• Develop and execute Sign-to-Close plans to ensure Day 1 readiness for newly carved-out businesses
• Support standalone operating model design and implementation
• Develop and execute Value Creation Roadmaps in collaboration with other specialist teams
• Support ongoing performance improvement initiatives and Exit Readiness Planning
• Work closely with PE clients, management teams, and other transaction advisors
• Collaborate with international teams on cross-border transactions and projects
• Lead project teams and manage senior stakeholders depending on level

Ideal Background

We are looking for professionals with experience in M&A, transaction advisory, management consulting, operational transformation, carve-outs, or related areas .

Relevant experience may include:

Requirements

• Bachelor's degree in Accounting, Finance, Engineering, Computer Science, Economics, Analytics, or a related field
• 3+ years of relevant experience for Senior Consultant
• 5+ years of relevant experience for Manager
• 8+ years of relevant experience for Senior Manager
• Strong understanding of financial statements and operational performance metrics
• Experience in M&A-related management consulting or advisory projects
• Ability to manage priorities and adapt quickly in complex business environments
• Business-level Japanese
• Willingness to travel domestically and internationally when required

Preferred Qualifications

• Experience in Operational Due Diligence for PE funds
• Business-level English
• Experience in Business DD, Financial DD, IT DD, or related transaction services
• MBA or other relevant professional qualification
