Team overview

Our dedicated international investment funds team pairs deep industry knowledge with a full spectrum of legal services in every major financial center across the globe, including regional professionals in regulatory, tax, ERISA, pensions, financing, corporate, and other areas critical to our clients' success.

We cover a wide range of investment strategies and have significant experience advising on open- and closed-end funds, alternative investments, secondary fund transactions, co-investments alongside funds, management spinouts, carried interest structures, sovereign wealth funds, and pension funds.

The opportunity

We are seeking a motivated associate to join our Market Leading Investment Funds team. The successful candidate will have the opportunity to work across a broad range of fund formation and structuring matters, supporting the team in advising fund sponsors, institutional investors, and financial institutions across a variety of asset classes.

Key Responsibilities

  • Assisting in advising fund managers and sponsors on the establishment and structuring of private investment funds, including private equity, venture capital, real estate and credit, infrastructure.

  • Drafting, reviewing, and negotiating key fund documents, including limited partnership agreements, private placement memoranda, subscription documents, side letters, and investment management agreements, with partner oversight on more complex matters.

  • Supporting the team in advising institutional investors (including pension funds, sovereign wealth funds, insurers, and family offices) on fund investments, co-investments, and secondary transactions.

  • Assisting with advice on fund governance, investor terms, fee arrangements, and carried interest structures.

  • Coordinating with tax, regulatory, and other specialist teams on cross-disciplinary matters.

About You

  • Qualified solicitor (England & Wales) with approximately 3-5 years PQE in an investment funds or asset management practice at a reputable law firm.

  • Good working knowledge of fund structuring, limited partnership law, and relevant regulatory frameworks.

  • Ability to contribute to multiple workstreams and work to tight deadlines in a fast-paced environment.

  • Good attention to detail, with a developing ability to spot inconsistencies and anticipate clients' needs. A proactive and enthusiastic approach with a growing commercial awareness.
