About This Role
This role as a Lawyer involves handling a broad range of legal matters, including M&A, new company formations, divestments, and commercial agreements. It suits a legal professional with strong experience in corporate compliance and a proven ability to manage complex legal disputes and corporate affairs.
Responsibilities
- Handle M&A and new company matters related to Petroleum, PetChem, HVP (Petroleum, PetChem (Aromatics), Solvent, Lube, Ethanol), TS Group (Hydrocarbon Solvent and Specialty Solvent, Foods, Supplements, Pharmaceutical, Cosmetic), digital, and other core businesses
- Manage divestment, IPO, and organization change in relation to core businesses
- Oversee commercial matters, including product sales and purchase agreements, MOUs, and LOIs for core businesses and the TOP Group (except TOP SPP and CVC structure)
- Manage financing agreements, including intercom loans, bonds, and loans from financial institutions for the TOP Group
- Handle IP registration, such as patent registration for TOP and TOP Group in relation to core businesses
- Manage R&D agreements in relation to core businesses
- Oversee IP commercialization in relation to core businesses
- Address corporate matters (company laws, POAs, NDAs) for the TOP Group (except TOP SPP and CVC structure)
- Handle legal disputes in relation to core businesses involving the TOP Group (except TOP SPP and CVC structure)
- Manage TOP's AGM/EGM
- Provide legal shared services to subsidiaries
Requirements
- 8-9 years of professional experience in legal practice or corporate compliance
- Strong ability in contract drafting, negotiation, and providing legal opinions on complex matters
- Excellent English communication skills, both written and spoken, with the ability to advise senior management effectively
- Fluent in Thai and English, both verbal and written
- Ability to prioritize work and to work well under pressure
- Problem-solving and analytical skills, particularly the ability to think spontaneously
- Good interpersonal skills and the ability to work well with others
