Job Description:
- Provide corporate secretarial and governance advisory services, including company incorporation, maintenance of statutory records, secretarial compliances, and filings with the Ministry of Corporate Affairs (MCA).
- Advise clients on corporate law, regulatory, and governance matters, including fundraising, shareholder arrangements, corporate actions, acquisitions, divestments, buybacks, capital reduction, and winding-up/liquidation.
- Lead and support corporate restructuring assignments, including mergers, demergers, slump sales, business transfers, capital reorganizations, and group restructuring initiatives.
- Advise on and manage compliance requirements under the Companies Act, 2013, FEMA, SEBI Regulations, LLP Act, and other applicable corporate laws.
- Conduct regulatory research, analyze complex issues, and provide practical, commercially focused recommendations to clients.
- Advise and assist clients on FDI and ODI compliances under FEMA.
- Advise clients on SEBI regulations and capital markets transactions, including Initial Public Offerings (IPOs), Follow-on Public Offers (FPOs), Rights Issues, Preferential Issues, Qualified Institutions Placements (QIPs), and other fund-raising transactions.
- Assist in IPO readiness assessments, corporate governance reviews, due diligence processes, and compliance with SEBI and stock exchange requirements.
- Advise on Related Party Transactions (RPTs), including regulatory requirements, governance frameworks, approval processes, disclosure obligations, and compliance with the Companies Act, 2013 and SEBI regulations.
- Assist clients in interactions with stock exchanges, depositories, SEBI, merchant bankers, registrars, and other intermediaries in connection with capital market transactions and regulatory matters.
- Coordinate with regulatory authorities, legal counsels, auditors, bankers, and other stakeholders to facilitate transaction execution and ensure timely completion of assignments.
- Assist in due diligence reviews, secretarial audits, governance assessments, compliance health checks, and regulatory reviews.
- Monitor legislative and regulatory developments and prepare technical opinions, client alerts, newsletters, articles, and thought leadership materials.
- Draft and review board and shareholder documentation, corporate resolutions, legal submissions, transaction documents, and regulatory applications.
- Prepare client proposals, capability presentations, engagement letters, and pitch decks, and support business development initiatives.
- Coordinate internally with engagement teams to ensure timely execution of assignments and deliverables.
- Assist in engagement administration, including billing, collections, documentation, and client risk management processes.
- Undertake any other assignments and responsibilities as may be delegated from time to time.
- Mentor and guide junior team members, review their work, and contribute to overall team development.
Technical Knowledge Requirements:
Candidates should possess a working knowledge of:
- Companies Act, 2013 and applicable rules
- LLP Act, 2008 and applicable rules
- FEMA regulations and RBI reporting requirements
- SEBI regulations and corporate governance framework
- NBFC and other corporate laws would be added advantage
- General corporate law and regulatory compliance matters
