Corporate Counsel

About This Role

This role as Corporate Counsel involves providing strategic legal advice to management, reviewing contracts, and ensuring compliance with federal and state laws. The position suits a legal professional experienced in third-party contract negotiation and regulatory issues within a banking context.

Responsibilities

• Review third-party contracts and negotiate with third-party vendors
• Provide legal advice on regulatory issues and federal and state laws and regulations in coordination with applicable departments
• Provide oversight and strategic legal advice to management
• Perform other assignments as directed by the General Counsel
• Supervise the preparation of responses to legal documents served on the bank
• Draft, review, and moderate due diligence with bank contracts
• Review legal bills submitted to the Bank for propriety and reasonableness of legal charges
• Directly coordinate relationships with outside counsel retained by the Bank
• Provide and coordinate legal review of bank compliance-related matters as needed, including vendor management, assisting in setting internal governance policies, and advising as to the impact of external factors
• Assist with the examination process for all applicable regulatory agencies
• Run and process department reports
• Maintain regular and predictable attendance and punctuality
• Perform other duties as assigned

• Constantly operate a computer and other office machinery
• Ability to lift up to 25 pounds
