Corporate Counsel

About This Role

This role involves overseeing the legal aspects of commercial transactions and contracts for a leading advisory, tax, and assurance firm. It suits a legal professional with experience in corporate law who can manage multiple projects in a deadline-driven environment while collaborating with various internal and external stakeholders.

Responsibilities

• Draft, negotiate, and review commercial transactions, contracts, and agreements
• Provide counsel regarding the interpretation of active contracts
• Handle contractual dispute resolution
• Be significantly involved in contractual matters throughout the entire contract lifecycle, from formation to termination, for agreements pertaining to diverse subjects
• Manage multiple contracts and projects in a deadline-driven environment
• Work with the legal and risk management department and business leadership to assist/lead on a variety of projects related to process improvements, risk mitigation, and legal policy development
• Collaborate with external vendors and legal counsel as necessary

Requirements

• Juris Doctorate degree required
• At least 3 years of experience in a law firm (preferably Am Law 100 firm) or as an in-house corporate attorney
• Ability to work effectively within a demanding, deadline-driven environment
• Proficiency in the use of Microsoft Word, PowerPoint, and Excel is required
• Excellent written and verbal communication and interpersonal skills and the ability to work independently or as a member of a team required
• Travel up to 10%

Nice to have:

• Experience with information privacy laws, HIPPA, PHI, BAA, and related agreements and information privacy laws preferred
• Knowledge of employment law a plus
• Project Management experience preferred
