About the Role

Our client is seeking an experienced Commercial Contracts Manager to join its investment organization and provide additional contracting capacity across a growing portfolio of third-party investment, data, technology, and professional services agreements.

This is an excellent opportunity for a contracts professional with 5–7 years of commercial contract management, procurement, or contracts-focused legal experience and a strong understanding of the investment management environment .

The ideal candidate will have experience working within an investment manager, asset manager, alternatives manager, fund administrator, insurance investment arm, or comparable investment organization and will be comfortable working with investment-specific vendors, data providers, technology platforms, and service providers.

Candidates must be able to work onsite in either Boston or New York 2–3 days per week minimum.

Key Responsibilities

  • Draft, review, and negotiate Master Service Agreements (MSAs), Statements of Work (SOWs), Service Level Agreements (SLAs), order forms, amendments, information security agreements, and data privacy/processing agreements
  • Negotiate directly with vendor commercial and legal contacts on liability, indemnification, data handling, termination, service credits, and other commercial terms
  • Support new agreements and renewals across investment data, analytics, fund administration, managed services, technology, and staff augmentation
  • Partner with business owners to translate contractual rights, obligations, and risks into practical business requirements
  • Collaborate with Global Procurement, Legal, Third Party Risk Management, Information Security, and Data Privacy to keep agreements moving through required review and approval processes
  • Investigate and resolve contract-related issues involving service performance, service credits, scope disagreements, and invoicing discrepancies
  • Maintain accurate contract records, including executed agreements, amendments, renewal dates, termination rights, key milestones, and spend commitments
  • Monitor consumption against contracted entitlements, including software licenses, data feeds, redistribution rights, user counts, API/query volumes, and tiered or consumption-based pricing
  • Track contract expirations and auto-renewal dates and prepare negotiation positions ahead of renewal cycles
  • Manage multiple agreements and competing deadlines while supporting time-sensitive investment operations

Required Qualifications

  • 5–7 years of experience in commercial contract management, procurement, or contracts-focused legal work
  • Direct experience drafting, reviewing, and negotiating third-party service agreements
  • Experience within an investment manager, asset manager, alternatives manager, fund administrator, insurance investment organization, or comparable investment environment
  • Strong knowledge of commercial contract terms, including liability, indemnification, data handling, termination, service credits, privacy, and information security
  • Proven ability to manage multiple agreements simultaneously against competing deadlines
  • Strong stakeholder management skills with the ability to work effectively with business leaders, Legal, Procurement, Risk, Technology, and vendors
  • Excellent written and verbal communication skills, including the ability to explain contractual issues and business implications to non-legal stakeholders
  • Experience with contract lifecycle management (CLM) platforms and contract repositories
  • Bachelor's degree in Business, Legal Studies, or a related field, or equivalent work experience

Preferred Experience

Experience with any of the following will be highly valued:

  • Fund administration and accounting services
  • Loan servicing or agency services
  • Market and reference data licensing
  • Investment/order management and portfolio systems
  • Software licensing and subscription agreements
  • Data feeds, redistribution rights, and consumption-based pricing
  • Professional services and staff augmentation
  • Offshore or nearshore service providers
  • Financial services regulatory, outsourcing, operational resilience, or third-party risk requirements

Experience supporting asset management or private investment organizations is particularly desirable, including exposure to organizations such as private equity and alternative investment managers.
