Contract Manager

About This Role

As part of the Global Sourcing team, the Contract Manager leads inbound procurement contract negotiations and ongoing contract lifecycle management across various departments including HR, benefits, payroll, travel, marketing, events, contingent labor, corporate services, real estate, facilities, and IT. This role focuses particularly on GDPR, data privacy, and information security matters, and also contributes to developing scalable tools and processes for global business growth and procurement transformation.

Responsibilities

• Draft, evaluate, review, interpret, and negotiate supplier agreements, including statements of work, in accordance with OpenText legal standards
• Develop contract strategies and lead negotiations throughout the contract lifecycle, including change orders, disputes, corrective actions, and contract close-out activities
• Research global data protection laws and policies, review privacy impact assessments, and support related data protection activities
• Review and transition supplier contracts resulting from mergers and acquisitions, ensuring contracts are captured in the OpenText contract repository and established for ongoing management
• Identify and assess contractual risks and opportunities, escalating concerns and recommending appropriate actions as needed
• Collaborate with cross-functional global teams and stakeholders at all levels of the organization, while educating procurement teams on legal, contracting, and risk-management practices

Requirements

• JD, LLB, or an equivalent legal qualification, with at least three years of post-qualification experience
• Two to four years of commercial contract management or legal experience
• CCCM, CPCM, or a similar contract management certification, or equivalent relevant experience
• Knowledge of common law and/or civil law
• Experience assessing and mitigating supplier data privacy and information security risks, including contractual, regulatory, and operational risks
• Experience negotiating Data Processing Agreements and information security terms
• CIPP or an equivalent recognized privacy certification is required
• Strong stakeholder management, communication, and problem-solving skills, with the ability to collaborate, influence, and engage effectively with all organizational levels, including executives
• Experience working with cross-functional global teams, with strong attention to detail and the ability to manage competing priorities in a fast-changing environment
• Fluency in written and spoken English is required
