Contract Attorney - Remote

About This Role

Working as a Part-Time Contract Attorney, you will provide legal support for the company's commercial contracting activities. This role involves close collaboration with internal business teams to draft, review, revise, and negotiate agreements with clients, vendors, and other business partners, focusing on client-facing commercial agreements and vendor contracts. You will identify contractual risks, offer practical legal guidance, and help efficiently move agreements through negotiation and execution.

Requirements

• Juris Doctor (J.D.) from an accredited law school and admission to at least one U.S. state bar; California Bar admission strongly preferred
• 5+ years of legal experience with a significant focus on commercial contracts, transactional matters, or in-house legal support
• Strong experience drafting, reviewing, redlining, and negotiating a variety of client/customer and vendor agreements
• Demonstrated experience negotiating Master Services Agreements (MSAs), Statements of Work (SOWs), vendor/service agreements, NDAs, and other commercial contracts
• Strong understanding of key commercial provisions, including indemnification, limitation of liability, confidentiality, intellectual property, data security, privacy, insurance, payment terms, warranties, termination, and dispute resolution
• Ability to identify contractual and business risks and provide practical, commercially minded recommendations to internal stakeholders
• Experience working directly with business, sales, operations, finance, technology, or other cross-functional teams to facilitate contract negotiations and execution
• Strong negotiation skills with the ability to balance legal risk with business objectives and maintain productive relationships with clients, vendors, and internal stakeholders
