Job Description
- Advise clients on corporate and business law matters, including entity formation, governance, business structuring, and compliance.
- Draft, review, and negotiate corporate and commercial agreements, including operating agreements, purchase and sale agreements, and other business contracts.
- Assist with mergers, acquisitions, business purchases and sales, and other corporate transactions.
- Represent clients in commercial real estate transactions, including acquisitions, sales, leasing, and financing.
- Conduct legal due diligence for corporate and real estate transactions and identify potential risks.
- Coordinate with lenders, title companies, brokers, accountants, opposing counsel, and other third parties to facilitate transactions and closings.
- Provide practical, business-focused legal advice and maintain strong client relationships.
- Manage matters and deadlines independently while collaborating with attorneys, paralegals, and support staff.
- Maintain accurate and organized electronic matter files and documentation.
- Perform other duties as assigned.
Qualifications
- Juris Doctor (JD) from an accredited law school
- Licensed and in good standing with the Colorado Bar (or eligible for admission)
- 13+ years of relevant experience
- Strong drafting skills
- Interpersonal, negotiation, and communication skills
